Affiliate Program Terms & Conditions

By submitting an application to the DocuPDF Affiliate Program ("Program"), accessing your affiliate dashboard, generating referral links, or receiving any commission payment, you ("Affiliate", "you", "your") agree to be bound by these Affiliate Program Terms and Conditions ("Affiliate Terms").

These Affiliate Terms are in addition to, and incorporated into, DocuPDF's main Terms of Service and Privacy Policy, which you must also accept.

DocuPDF ("Company", "we", "our", "us") reserves the right to modify, suspend, or terminate the Program or these Affiliate Terms at any time. Material changes will be communicated via email to your registered address with at least 30 days' notice. Continued participation after the effective date of changes constitutes your acceptance of the revised terms.

To participate in the Program, you must:

• Be at least 18 years of age
• Have a valid, active DocuPDF account
• Have a genuine promotional channel (website, blog, YouTube channel, newsletter, social media account, podcast, or similar platform) with authentic traffic or audience
• Provide accurate, truthful information in your application
• Have the legal right to enter into this agreement in your jurisdiction
• Have a valid bank account, payment method, or payout recipient capable of receiving payments

You are not eligible if you are:

• A current employee, contractor, officer, or director of DocuPDF or any of its affiliates
• Operating a competing PDF tool or SaaS product that directly competes with DocuPDF's core features
• Previously terminated from the Program for a violation of these terms
• Promoting through channels that primarily consist of spam, unsolicited messages, or manipulated traffic

Approval is at DocuPDF's sole discretion. We review every application manually and reserve the right to reject any application without providing a reason.

Subject to these Affiliate Terms and the conditions below, approved affiliates earn commissions as follows:

3.1 What qualifies for a commission. A commission is earned only when a referred user completes a paid subscription purchase. Free plan signups, trial activations (if applicable), or account registrations that do not result in a paid transaction do not qualify.

3.2 Recurring commissions. You earn a commission on each recurring payment made by a referred customer for up to 12 consecutive commission months. After 12 commission months have elapsed from the first payment date, no further commissions are earned for that customer, even if the customer remains a paying subscriber.

3.3 Net-30 hold. Every commission is subject to a 30-day hold period ("Net-30") from the date of the underlying payment. This hold exists to protect against chargebacks, fraudulent payments, and refund requests. Commissions are not eligible for payout until they transition from "Pending" to "Approved" status after the hold period elapses.

3.4 Commission calculation. Commissions are calculated on the gross payment amount before payment processing fees. DocuPDF does not deduct payment processor fees from the commission base.

3.5 Commission rates may change. DocuPDF reserves the right to modify the commission rate with 30 days' written notice. Changes apply to new referrals generated after the effective date; existing tracked referrals and active recurring commission chains retain the rate in effect at the time of the initial conversion.

3.6 Individual rate adjustments. DocuPDF may, at its sole discretion, offer a custom commission rate to individual affiliates, superseding the standard 30% rate. Any such arrangement will be reflected in your affiliate dashboard and communicated in writing.

4.1 First-click attribution. DocuPDF uses first-click attribution. When a user clicks your referral link, a tracking cookie is set in their browser. If that user later becomes a paying customer, you receive the commission — regardless of whether they clicked other links or visited the site directly afterward. If a user has already been referred by another affiliate, your subsequent referral link click will not overwrite the original attribution.

4.2 Cookie duration. The referral cookie has a 60-day lifespan from the date of the first click. If a referred user converts to a paying customer after the 60-day window has expired, no commission is earned.

4.3 Durable attribution. In addition to the browser cookie, DocuPDF records your referral code on the referred user's account at the time of signup. This durable attribution is used to attribute recurring payments even if the user's browser cookie has been cleared.

4.4 Referral link integrity. Your affiliate link and code are unique to you. You must not share, sell, or allow others to use your affiliate link or code for their own promotional purposes. Each unique affiliate code may only be used by the affiliate to whom it was assigned.

4.5 Sub-IDs. You may append a sub-ID parameter (?sid=value) to your referral link for your own campaign-level tracking. Sub-IDs are cosmetic tags visible in your dashboard; they do not affect commission calculation.

4.6 Tracking limitations. DocuPDF is not liable for lost commissions resulting from a user's browser settings that block cookies, browser extensions that strip tracking parameters, or any other technical circumstances outside DocuPDF's control. No commission adjustments will be made for claimed tracking failures unless DocuPDF determines a technical error on our systems caused the failure.

The following activities are strictly prohibited and will result in immediate termination of your affiliate account, forfeiture of any unpaid commissions, and potential legal action:

• Self-referral: Referring yourself, your own accounts, or accounts controlled by you or members of your immediate household. Self-referrals are automatically detected and blocked by our system.
• Spam and unsolicited communications: Sending bulk unsolicited emails (spam), SMS, or social media messages promoting your referral link. All promotional activities must comply with applicable anti-spam laws including CAN-SPAM (USA), CASL (Canada), and GDPR (EU/UK).
• Cookie stuffing: Any technique that forces a referral cookie to be set without the user voluntarily clicking your referral link (e.g., hidden iframes, pop-unders, or automatic redirect scripts).
• Misleading claims: Making false or misleading statements about DocuPDF's features, pricing, security, or reputation. Reviews and endorsements must reflect honest opinions based on genuine use.
• Fake reviews: Creating fictitious testimonials, reviews, or case studies about DocuPDF.
• Incentivized clicks: Offering cash, gifts, credits, or other incentives to users in exchange for clicking your referral link — unless explicitly approved in writing by DocuPDF.
• Paid search trademark bidding: Bidding on DocuPDF's trademarked brand names, variations, or misspellings in paid search advertising (Google Ads, Bing Ads, etc.) without prior written authorization from DocuPDF.
• Bot and artificial traffic: Using bots, click farms, automated scripts, or any mechanism to generate fake clicks, fake signups, or fraudulent conversions.
• Coupon or deal sites without authorization: Posting referral links on coupon, cashback, or deal aggregation sites without express written permission from DocuPDF.
• Brand impersonation: Creating websites, social profiles, or accounts that imply you are DocuPDF, an employee of DocuPDF, or an official DocuPDF partner beyond your role as an independent affiliate.
• Referring previously registered users: Soliciting users who already have a DocuPDF account to click your referral link and "re-attribute" to you. Attribution is locked at the time of original signup.

6.1 Payout eligibility. To request a payout, your approved balance must meet or exceed the minimum threshold: $50.00 USD or ₹4,000 INR. Separate thresholds apply to each currency. You may request a payout for one currency at a time.

6.2 Payout request. You initiate a payout request through your affiliate dashboard. Requests are reviewed by DocuPDF and processed manually. DocuPDF aims to process approved payout requests within 14 business days of approval, though no specific processing timeline is guaranteed.

6.3 Payout methods. Current payout methods include manual bank transfer, PayPal, or any method mutually agreed in writing. Automated Stripe Connect payouts may be made available in a future update.

6.4 Taxes and legal compliance. You are solely responsible for reporting and paying all applicable taxes, levies, and withholdings on commissions earned through the Program. DocuPDF may be required by law to collect tax identification information (such as a W-9 or W-8BEN) before processing payouts. Failure to provide accurate tax documentation may delay or prevent payout processing. DocuPDF is not responsible for tax consequences arising from your participation in the Program.

6.5 Currency and exchange rates. USD commissions are paid in USD; INR commissions are paid in INR. DocuPDF does not offer currency conversion. Exchange rate risk is borne entirely by the affiliate.

6.6 Payout holds. DocuPDF reserves the right to place additional holds on payouts for up to 90 days if: (a) there is a suspected violation of these Affiliate Terms; (b) an unusually high refund, chargeback, or dispute rate is detected among your referred customers; or (c) we are unable to verify your identity or payment details.

6.7 Minimum account age. Your affiliate account must be at least 30 days old before your first payout request can be processed.

7.1 Refund clawback. If a referred customer receives a refund for a payment on which a commission was based, the corresponding commission will be reversed ("clawed back") from your balance — regardless of whether the commission was in "Pending" or "Approved" status at the time of the refund.

7.2 Chargeback clawback. If a referred customer initiates a payment chargeback, the corresponding commission will be reversed. If the chargeback results in a negative balance, DocuPDF will deduct the deficit from future commissions.

7.3 Fraud clawback. Any commission earned as a result of fraudulent activity — including but not limited to self-referral, cookie stuffing, or fake signups — will be reversed and may result in immediate termination of your account.

7.4 Cancellation within hold period. If a referred customer cancels their subscription and obtains a full refund within the 30-day hold period, no commission will be approved for that payment.

7.5 Already-paid commissions. If a clawback event occurs after a commission has already been included in a processed payout, DocuPDF reserves the right to deduct the clawed-back amount from future payouts. If your account is terminated before the deduction can be applied, DocuPDF may pursue recovery through other means.

8.1 Limited license. DocuPDF grants you a limited, non-exclusive, non-transferable, revocable license to use DocuPDF's name, logo, and approved marketing materials solely for the purpose of promoting DocuPDF through your approved promotional channels.

8.2 No modification. You may not alter, modify, distort, or create derivative works of DocuPDF's brand assets without prior written approval.

8.3 No implication of endorsement. Your promotional materials must not imply that DocuPDF endorses you, your content, or any third-party product or service, unless DocuPDF has provided explicit written confirmation of such an endorsement.

8.4 FTC and advertising disclosures. All promotional content featuring DocuPDF must comply with applicable advertising disclosure requirements, including FTC guidelines (USA), ASA guidelines (UK), and equivalent regulations in your jurisdiction. You must clearly and conspicuously disclose your affiliate relationship with DocuPDF in all promotional content. Examples of acceptable disclosures: "#ad", "#sponsored", "Affiliate link — I earn a commission if you subscribe."

8.5 Termination of license. The brand usage license terminates automatically upon termination or suspension of your affiliate account.

You and DocuPDF are independent contractors. These Affiliate Terms do not create, and shall not be construed to create, any partnership, joint venture, agency, franchise, employment, or fiduciary relationship between the parties.

You have no authority to make any representation, warranty, or commitment on behalf of DocuPDF, nor to bind DocuPDF to any contract or obligation.

You are solely responsible for all costs incurred in connection with your promotional activities, including but not limited to website hosting, content production, advertising spend, and third-party platform fees.

10.1 Termination by you. You may terminate your participation in the Program at any time by closing your affiliate account through your dashboard or by sending a written notice to the contact email below. Approved commissions that have passed the 30-day hold period and meet the payout minimum will remain payable; all other pending commissions will be forfeited.

10.2 Termination by DocuPDF for cause. DocuPDF may immediately terminate your affiliate account, with or without notice, and forfeit all unpaid commissions if you: (a) violate any provision of these Affiliate Terms; (b) engage in any prohibited activity listed in Section 5; (c) provide false information in your application or dashboard; (d) engage in any activity that DocuPDF reasonably believes is harmful to DocuPDF's brand, reputation, or users; or (e) violate any applicable law or regulation in connection with your promotional activities.

10.3 Termination by DocuPDF without cause. DocuPDF may terminate your participation with 30 days' notice for any reason, including discontinuation of the Program. Approved commissions that have cleared the hold period will be paid out; pending commissions will be evaluated at DocuPDF's discretion.

10.4 Effect of termination. Upon termination: (a) your referral link will stop generating new conversions; (b) existing tracked referrals within the cookie window may still convert, at DocuPDF's discretion; (c) access to your affiliate dashboard will be revoked; and (d) DocuPDF's brand usage license granted under Section 8 terminates immediately.

By participating in the Program, you consent to DocuPDF collecting and processing your personal information (name, email address, payment details, tax information) for the purposes of administering the affiliate relationship, calculating and processing commissions, and complying with applicable legal obligations.

DocuPDF's collection and use of personal information is governed by our Privacy Policy.

Click data (IP addresses, user-agent strings) collected through your referral links is used solely for attribution, fraud detection, and program analytics. IP addresses are stored in hashed form and are not shared with third parties outside of fraud detection services.

You must handle any personal data about DocuPDF users that comes into your possession through the Program in compliance with applicable data protection laws, including GDPR and CCPA where applicable.

12.1 No guarantee of earnings. DocuPDF makes no representation or guarantee regarding the amount of commissions you will earn. Commission amounts depend entirely on your own promotional efforts and the purchasing behavior of the users you refer.

12.2 Service availability. DocuPDF does not guarantee uninterrupted availability of the affiliate dashboard, tracking system, or Program. Scheduled maintenance, technical issues, or force majeure events may affect the Program.

12.3 Limitation of liability. To the maximum extent permitted by applicable law, DocuPDF's total liability to you arising out of or related to the Program — whether in contract, tort (including negligence), or otherwise — shall not exceed the total commissions paid to you in the 3 months immediately preceding the event giving rise to the claim.

12.4 Exclusion of consequential damages. In no event shall DocuPDF be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, loss of data, or loss of goodwill, arising from your participation in the Program.

12.5 Indemnification. You agree to indemnify, defend, and hold harmless DocuPDF and its officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from: (a) your breach of these Affiliate Terms; (b) your promotional activities; (c) your violation of any applicable law; or (d) any claim by a third party arising from your promotional content.

These Affiliate Terms are governed by and construed in accordance with the laws of the jurisdiction in which DocuPDF is incorporated, without regard to its conflict of law provisions.

Any dispute arising from or related to these Affiliate Terms shall first be attempted to be resolved through good-faith negotiation between the parties. If resolution cannot be reached within 30 days of written notice, the dispute shall be subject to binding arbitration or the courts of DocuPDF's jurisdiction, as applicable under local law.

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened violation of intellectual property rights or confidentiality obligations.

14.1 Entire agreement. These Affiliate Terms, together with DocuPDF's Terms of Service and Privacy Policy, constitute the entire agreement between you and DocuPDF with respect to the Program and supersede all prior negotiations, representations, and agreements.

14.2 Severability. If any provision of these Affiliate Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

14.3 Waiver. DocuPDF's failure to enforce any right or provision of these Affiliate Terms will not constitute a waiver of such right or provision.

14.4 Assignment. You may not assign or transfer your rights under these Affiliate Terms without DocuPDF's prior written consent. DocuPDF may freely assign its rights and obligations under these Affiliate Terms.

14.5 Notices. All official notices from DocuPDF to you will be sent to the email address associated with your DocuPDF account. It is your responsibility to keep this address current and to monitor it for program communications.

14.6 Language. These Affiliate Terms are written in English. Any translations provided are for convenience only. In the event of a conflict between the English version and a translation, the English version prevails.
